1. Scope and Contractual Partner

1.1 These General Terms and Conditions (T&C) apply to all contracts between Invytee [Your Full Name/Company Name], [Your Address], Austria (hereinafter “Invytee”), and its clients (hereinafter “Client”). 

1.2 The services offered by Invytee are intended exclusively for entrepreneurs (B2B). A contract with consumers (B2C) is explicitly excluded. 

1.3 Invytee provides services globally. By entering into a contract, the Client confirms they are acting as a business entity.

2. Services and Account Provision

2.1 Invytee provides a Software-as-a-Service (SaaS) solution for generating personalised brochures and visual content via the LinkedIn API. 

2.2 There is no open registration. Invytee creates admin accounts manually for the Client after the contract is concluded and payment is confirmed. 

2.3 The use of the service for end-users (the Client’s customers/invites) via campaign links is free of charge for the end-users. 

2.4 Availability: Invytee strives for smooth operation. Support inquiries will be addressed within a 12-hour response time. Constant 100% availability cannot be guaranteed due to technical dependencies (e.g., LinkedIn API).

3. Packages and Templates

3.1 Lite & Growth Packages: The Client is responsible for uploading their own templates.

3.2 Elite Package: Invytee may optionally provide template creation services. The Client is granted a non-exclusive, worldwide, and perpetual right to use these templates created by Invytee for their marketing purposes. 

3.3 All generated outputs are White-Label (without the Invytee logo) across all packages.

4. Pricing and Payment Terms

4.1 All prices are net prices excluding statutory value-added tax (VAT). 

4.2 Payment is made via invoice. The service will be activated only after full payment has been received (Advance Payment). 

4.3 For international Clients (EU outside Austria), the Reverse Charge system applies, provided a valid VAT ID is provided. For Clients outside the EU, the service is generally not subject to Austrian VAT. 

4.4 No Automatic Renewal: Contracts are concluded for a fixed term (e.g., 1 or 3 months). The account will be suspended automatically at the end of the term unless a new booking and payment are made. Early ordinary termination is excluded.

5. Liability and Indemnification

5.1 Content: The Client is solely responsible for all uploaded content (templates, logos, text). The Client guarantees that the content does not infringe upon any third-party rights (e.g., copyrights or trademarks). 

5.2 The Client shall indemnify and hold Invytee harmless from any third-party claims resulting from the unlawfulness of the content provided by the Client or their end-users. 

5.3 Third-Party Dependency (LinkedIn): Invytee is not liable for service disruptions caused by changes, restrictions, or the termination of the LinkedIn API. 5.4 Limitation of Liability: Unless in cases of gross negligence or intent, Invytee’s liability is limited to the amount paid by the Client for the current term. In the event of a permanent service failure due to LinkedIn API changes, Invytee will issue a pro-rata credit or refund for the remaining unused term.

6. Data Protection and Retention

6.1 Invytee processes personal data in accordance with its Privacy Notice. 

6.2 Operational Data: Templates, campaign data, and end-user data (who post via the Client) will be deleted 2 years after the end of the last active contract term, unless otherwise agreed for analytical purposes. 

6.3 Accounting Data: Pursuant to § 132 BAO (Austrian Federal Fiscal Code), all invoices, booking records, and relevant contractual documents will be stored for a period of 7 years for tax and accounting purposes.

7. Final Provisions

7.1 This contract is governed by Austrian Law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). 

7.2 The exclusive place of jurisdiction for all disputes arising from this contract is the court having subject-matter jurisdiction at the seat of Invytee in Austria.
